Additional Terms & Information

- CHARTER FEE:  The Charter Fee includes the services of a Captain and Crew, fuel and all expenses related to running of the Vessel. The Charter Fee does not include crew gratuities, alcoholic beverages, off-Vessel excursions, landing fees, taxes, or other similar expenses incurred by CHARTERER.  When listed in Section 1 above as “Additional Fees,” these amounts shall be for CHARTERER’s account.  Additional services and upgrades may be available on a cost-plus-fee basis and shall be invoiced separately.  - CONSUMPTION OF ALCOHOLIC BEVERAGES:  Alcoholic beverages may be brought on board by CHARTERER but cannot be purchased on board. Service of alcohol will be provided as part of the CHARTER.  The Captain and any member of the Crew shall have discretion whether to refuse service of alcohol to anyone on board the Vessel for the safety of its passengers and Crew. - CANCELLATIONS: Should the CHARTERER cancel this Agreement at any time prior to the commencement of the charter, deposits will be refunded under the following conditions: If the Vessel is re-booked for the same period or portion thereof, Deposits shall be refunded. If re-booking is not possible despite OWNER’s best efforts, no refund shall be made.  If OWNER cancels, OWNER shall reimburse CHARTERER for all deposits paid as of the cancellation date.  All cancellations must be in writing and acknowledged by both parties.  - FORCE MAJEURE: Force Majeure is defined as any cause attributed to acts of GOD, accidents, natural disaster, weather or other occurrences beyond the reasonable control of the Captain or OWNER, and not caused by the OWNER’S negligence. No warranty is made as to the suitability of weather with respect to this charter. If the weather conditions threaten or are forecast to threaten the expected charter, as determined by the Captain in his/her sole discretion, the Captain shall have the option of terminating or cancelling the charter any time that he/she deems necessary. No refund is provided for cancellation due to weather or other Force Majeure.  CHARTERER may re-book for a future charter in the case of cancellation due to weather or other Force Majeure. - AUTHORITY: The OWNER warrants that the Captain meets all requirements necessary to legally command the Vessel in the area chartered. While it is agreed that CHARTERER may determine the general itinerary of the charter within the territorial boundaries of this Agreement, it is understood that the Captain is in full command, and that the CHARTERER AGREES TO ABIDE BY HIS OR HER JUDGMENT AS TO CLEARANCE, SAILING, WEATHER CONDITIONS, ANCHORAGES AND OTHER PERTINIENT MATTERS OF SAFETY AND NAVIGATION. - LIENS: The CHARTERER has no right or authority to permit or suffer the creation of any Maritime Liens against the Vessel. The CHARTERER agrees to indemnify OWNER for any charges or losses incurred as a result of the breach of this provision, including reasonable attorney’s fees. - RESTRICTED USE: The CHARTERER agrees that the Vessel shall be used exclusively as a pleasure vessel and shall not be used to transport merchandise, or engage in any trade, nor in any way violate the Coastwise or other Laws of the United States or State of California and shall comply with the law in all other respects. The participation in any illegal activity by the CHARTERER, or any guest of the party constitutes a breach of this Agreement and shall be cause for its immediate termination without refund. - DRUGS OR OTHER ILLEGAL ACTIVITIES: The use, transportation, or possession of illegal drugs or narcotics (including marijuana), or of any other contraband, or the participation in any other unlawful activity is strictly prohibited. The participation in any of the aforementioned activities by CHARTERER or any member of his/her party constitutes a breach of this Agreement and shall be cause for immediate termination without refund. - COVID: CHARTERER to follow OWNER’S implemented rules/procedures based on current health regulations regarding COVID. ALL CHARTERER passengers are required to abide by rules/procedures implemented.  Charter subject to cancellation based on CHARTERER not observing implemented health regulations during charter. CHARTERER to receive current plan/procedures 1-2 weeks prior to the commencement of charter.  This may include the wearing of masks, social distancing, and may affect available passenger count availability.  Subject to change based on current local city & county health regulations. - INSURANCE: The OWNER agrees to keep the Vessel fully insured against fire, marine, injury, and collision risks with protection and indemnity coverage for the full term of the charter period. CHARTERER may inquire as to the limits of such insurance prior to the commencement of the charter upon written request. - LIABILITY WAIVER:  In consideration of being permitted to participate in the recreational charter contemplated by this Agreement, which carries inherent risks of injury due to wave action, drowning, vessel rocking, instability, collisions, other forms of impact, and other marine perils, CHARTERER and his/her guests hereby release and forever discharge the Vessel, its owners, operators and crew, including but not limited to OWNER, its corporate affiliates, owners, subsidiaries, directors, officers, employees and agents, and each of them (“Releasees”) from any and all loss, damage, liability, expense, cost, demands and claims arising from any bodily or personal injury, property damage and/or death which may occur as a result of the inherent risks associated with the charter, the negligence of the Releasees, and/or the seaworthiness of the Vessel.  In furtherance of this waiver and release, CHARTERER and his/her guests shall also sign a separate form of release in advance of the charter if requested by OWNER.  Should this provision and any separate release form related to the charter at issue be determined by a court of competent jurisdiction to be mutually exclusive or inconsistent, the separate release form shall prevail and govern. - DISPUTE RESOLUTION: Any dispute arising out of or in connection with this Agreement shall first be submitted to mediation before a mediator mutually agreed upon by CHARTERER and OWNER, with the cost of mediation being divided equally between the parties. Should mediation fail to resolve said dispute, either party may file litigation within one (1) year of the disputed event(s) to enforce their rights, but only in the federal courts sitting in San Francisco, CA, to which the parties hereby consent to personal jurisdiction.  The prevailing party shall be awarded its reasonable attorneys’ fees in connection with any such litigation.  - LAW: This Agreement shall be governed and construed in accordance with the federal maritime law of the United States to the maximum extent it can be applied, and otherwise by the laws of the State of California, without regard to its conflict of laws provisions. - SEVERABILITY:  If any provision of this Agreement proves to be illegal, invalid or unenforceable, the remainder of this Agreement shall not be affected by such finding, and in lieu of each provision found to be invalid or unenforceable, a provision shall be added as a part of this Agreement as similar as possible in terms to such illegal, invalid or unenforceable provision while being legal, valid and enforceable
